1. Who these terms are with

This website and the software described on it are operated and published by M R STORES, a sole proprietorship registered in Bangladesh with its registered address at Radhapur Bazar, Lakshmipur Sadar, Bangladesh. In these terms, “we”, “us” and “our” mean M R STORES, and “you” means the person using this website or our software.

2. Accepting these terms

By using this website or installing and using Batchly, you agree to these terms. If you do not agree with them, please do not use the website or the application.

3. Licence to use Batchly

Batchly is provided free of charge. We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the application on devices you own or control, for your own purposes including commercial use in your own business.

You may not:

• redistribute, resell, sublicense or rent the application;
• decompile, reverse-engineer or attempt to derive the source code, except to the extent that applicable law expressly permits it;
• remove or obscure any notice of ownership within the application; or
• use the application for any unlawful purpose.

4. Your data is yours

Batchly stores its records on your device. You own that data. We do not receive it, we cannot access it and we hold no copy of it. This has two consequences worth stating plainly:

• We cannot recover your records. If you lose or reset your device, or uninstall the application, the data is gone. Use the backup and export features to keep your own copies.
• Keeping backups is your responsibility. We provide the export and backup tools; deciding when to use them is up to you.

5. Accuracy of records and business decisions

Batchly records and calculates what you enter into it. Yield percentages, wastage figures, costs and traceability links are derived from your own entries, so their accuracy depends entirely on the accuracy and completeness of what is recorded.

Batchly is a record-keeping aid. It is not a certified quality-management system, a regulatory compliance system, an accounting system, or a substitute for whatever records your industry, your customers or the law require you to keep. You remain responsible for meeting your own regulatory, food-safety, tax and record-keeping obligations, and for any decision you make on the basis of information shown in the application.

6. Availability and changes

We may update, change or discontinue the application or this website at any time. Because Batchly runs entirely on your device, an update on our side does not remove software already installed on yours — but we cannot guarantee that future versions of Android will continue to run older versions of the application.

7. Intellectual property

The Batchly name, the M R STORES name, the application, this website and their contents are our property or are used by us under licence, and are protected by applicable intellectual property law. Nothing in these terms transfers ownership of any of it to you.

8. Third-party services

Batchly is distributed through Google Play. Your download and installation of the application is also governed by Google’s own terms, over which we have no control. Batchly itself contains no third-party analytics, advertising or tracking components.

9. No warranty

The application and this website are provided “as is” and “as available”, without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the application will be uninterrupted, error-free, or that it will meet your particular requirements.

10. Limitation of liability

To the fullest extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, nor for any loss of data, profits, revenue, production or business, arising out of or in connection with your use of, or inability to use, the application or this website.

Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud.

11. Indemnity

You agree to indemnify us against any claim, loss or expense arising from your unlawful use of the application or your breach of these terms.

12. Changes to these terms

We may revise these terms from time to time. The revised version takes effect when it is published on this page, and the “last updated” date at the top will change. Continuing to use the website or the application after that means you accept the revised terms.

13. Governing law and jurisdiction

These terms are governed by the laws of Bangladesh. Any dispute arising out of or in connection with them will be subject to the exclusive jurisdiction of the courts of Bangladesh.
